The refusal of succession is the case where heirs abandon all property left to them by the decedent.  It is a method used to not succeed to an inheritance.  One may question why someone would not wish to succeed, but this method is often used when the inheritance has some negative point, a common one being debt.  This is an effective way to refuse to inherit debt associated with a decedent’s estate.  It can also be used when there is an emotional reason for not wishing to inherit.

The procedure is to submit “the application form for the refusal of succession” to the family court within three months.  When there are multiple heirs, it is possible that not all will wish to refuse succession, as well as the case where all heirs will wish to refuse succession.

Limited recognition

This is the case where there are positive assents and negative assets involved in the inheritance.  The inheritance of the negative assets is accepted up to the limit of the amount of the positive assets.  The remainder of the negative assets is not accepted, amounting to a limited refusal of succession.

In this case all of the heirs jointly coordinate the list of assets, and present it to the family court within three months for approval of the limited refusal of succession.

Although it is possible to use limited recognition in the case where the deceased has assets and outstanding debt, this approach is not used very often.  The reason is that it takes time to fully examine the assets of the decedent and have a clear understanding of the state of their affairs at the time of death. 

Important points regarding the refusal of succession

As the use of the refusal of succession has increased recently, it is important to remember that that it must be completed within three months.  In addition, care must be taken to consider various points;

l  There are cases where a vicious moneylender will wait until after the three month interval has passed to inform the estate of the existence of a debt and then demand that it is paid.  In such a case consult with us immediately as the initial resolution may still apply.

l  The assets of the decedent may decrease due to funeral expenses or the automatic deduction of public utility fees.  This is accepted within common sense; however an explanation to the creditor may be needed due to the refusal of succession. 

l  In the case where you are the beneficiary of a life insurance policy, you are not allowed to receive it.  This applies to any welfare annuity as well.  However, you may receive a survivor’s annuity, even in the case of refusal of succession.

l  Moneylenders may demand payment and your official stamp (seal) on documents.  In the case of refusal of succession you do not have to pay, and need to inform them of these circumstances.

1. Foreigners can purchase a Japanese house (an apartment and a house on land)

In general, there are no limitations for a foreigner in the purchase real estate in Japan.  As a general rule, it is an after the fact report system.  Only in the case of certain conditions must the name and purchase price of the property be reported to the Minister of Finance (via the Bank of Japan) within 20 days of acquisition.  There are also cases where reporting is not necessary.

2. How to verify identity in the case where the purchaser is a foreigner.

A foreigner will need to provide their certificate of alien registration with photograph.  In addition, a copy of their passport will be required.  Because an official copy of alien registration is required to attach to the purchase documents, a certified document will need to be obtained from the municipal office (city hall).

3. Is it possible to use a loan?

When it is not possible to pay the purchase price with a lump sum, it is possible for a foreigner to use a home loan.  There are, however, several conditions which are considered.

・Do you live in Japan?

・Do you have permanent residence status?

・How many years have you lived in Japan?

・How many years have you worked in Japan?

・Do you have a Japanese spouse or a Japanese child?

・Can you communicate in Japanese?

The most important item on the list is that you live in Japan.  There is a limitation that the funds for a home loan be used for you and your family to live in Japan.  A very difficult point for loan providers is the question of how long will you be living in Japan.  It is necessary to address this point as you prepare the documents for the loan so it can be clearly dealt with when the application is submitted.

4. Is a signature acceptable for the application of the registration, the contract, and other documents?

Because the registration application is done based on Japanese real estate registration system, it is not necessary to use a “signature stamp” or inkan, on the application when a foreigner entrusts an agent with the application procedure.  But because an inkan is necessary in registration and needs to be certified, an inkan needs to be prepared.  In Japan, when buying or renting a home, it is necessary to have an inkan that is certified, or registered, at your local city hall or municipal office.  In order to obtain this inkan certification, it is necessary to also have a certificate confirming current address, so it is a top priority to obtain alien registration.

5. Is it necessary for a foreign buyer to have a seal (inkan)?  Is it necessary to have a resident’s card?

Generally Westerners use a “signature” on legal documents, but in this case it is desirable to use a seal (inkan) that has a certificate issued by the local municipal office.  It is possible to obtain a katakana inkan and have it registered while you live in Japan.  In addition, it is possible to use a resident’s card or one of two certifications of residency available from the municipal office (外国人登録原票記載事項証明書gaikokujin touroku genpyou kisaijikou or外国人登録原票の写しgaikokujin touroku genpyou utsushi).  In both cases the municipal offices uses your foreign resident registration to issue an official certificate confirming your residency.

6. Are the sales contract and other pertinent documents in Japanese?

Because the transaction comes under Building Lots and Buildings Transaction Business Law, which is in Japanese, the official documents of the transaction are in Japanese.  If it is the case however, that the buyer does not understand the documents, then there should be an attachment with the translated contract and other documents in the language of the buyer.

In addition, to avoid future disputes, when an interpreter is used to help a foreign buyer understand the contract and other documents, the interpreter must also sign or stamp the documents (in addition to the buyer).

Moreover, it is important to make the letter of proxy by a foreign buyer when an interpreter is used about the contents of the sales contract and other important points of explanation.

7. Are there taxes involved with a real estate purchase?

Various taxes are imposed, as is the case with Japanese.

For example, there is "Stamp duty" (Stamp charges) when you make a sales contract, "Real estate acquisition tax" when you obtain real estate, "Registration and license tax" when you register it, and "Property tax" and “Urban planning tax" while you own it.  When you sell real estate, there is a "Transfer income tax".

In the case of purchasing an apartment, we recommend that you rent an apartment beforehand and then look slowly and carefully for a place that is suitable to buy.  Alien registration and seal registration is necessary for both renting and purchasing an apartment.  Since real estate purchase is very expensive, it is wise to clearly consider the desired environment and available budget, and take your time in looking for just the right place.

Naturalization is the process, defined by The Nationality Law of Japan, where a foreigner acquires Japanese nationality. The process is not a simple one, and will require the preparation of numerous complex documents.  The documentation required varies depending on the individual situation – such as whether the applicant is a company employee or a manager.  It is necessary to confirm that the prerequisites for naturalization are met, and then all of the supporting documentation must be prepared.  The application is submitted to the legal affairs bureau for examination, and a determination is made by The Minister of Justice, accepting or rejecting the application.

The process takes about 1 year before there is a final decision.  The applicant will need to collect numerous documents from government agencies in their home country and Japan in order to certify and prove eligibility for application.  Many self-explanatory documents in Japanese will have to be prepared as well, to explain and justify the need to become a naturalized Japanese citizen.  It is a challenging process.

Conditions to be eligible for naturalization

The Nationality Law of Japan lists the following as conditions to be met to be eligible for naturalization.  It must be noted, however, that there are other factors, which we will explain later.

1.     You must have lived in Japan continuously for at least 5 years.

2.     You are at least 20 years old, or of legal age as defined by the laws of your home country.

3.    You are “a good citizen” without any criminal record.

4.      You or your spouse or relatives have sufficient assets or skills to independently sustain your life in Japan.

5.      You agree to hold only Japanese citizenship and relinquish any former citizenship once Japanese citizenship is granted.

6.      Having never attempted nor advocated to destroy the Japanese government established under the Constitution of Japan by violence, nor organized nor belonged to such political parties or any other organizations that attempted or advocated the same.

You must satisfy the above six requirements to acquire Japanese citizenship, and you have to be proficient in Japanese (listening, speaking, reading and writing).

Some of the above requirements are less strict for applicants born in Japan, or who have a Japanese parent or spouse.  Please consult a Legal Affairs Bureau or an immigration lawyer for specific details on these requirements.

Even if you have seemingly satisfied the above conditions, there are many factors considered and examined in detail in addition to those mentioned above by the officers of legal affairs bureau as they consider whether to accept your application, or not.  Thus, you are strongly recommended to consult with immigration lawyers and officers of legal affairs bureaus prior to actually beginning the process of acquiring the above documents.  In many cases such a consultation would result in the recommendation that you drop your application due to some insufficiency in your eligibility.  Many individuals never actually submit the application when their situation is reviewed by immigration lawyers, which is probably why some statistics show the extraordinarily high success rate of 90% of applications accepted.  This success rate does not reflect individuals who are screened out before application is officially submitted.  The challenge is to overcome any barriers to acceptance before the official application.

2.      Only one director is needed to establish a company now, where three directors and one auditor were necessary previously. 

3.      Preparation time needed for registration is substantially shortened, as payment of capital is not necessary and a safekeeping fee is not required.   

4.      When electronic authentication is used, the certification of articles of association is 0 yen.  There is a 40,000 yen fee if electronic authentication is not used.  This is one of the advantages of using a professional lawyer for the procedure.

Establishing a plan

1. Appointment & Consultation

To start, please contact us for an appointment.  We will explain the basics of registration and articles of association.  Then, after the consultation, if you request it, we will draft an outline of the requirements in your case.  Please feel free to e-mail or phone call.   

2. Investigation

We will investigate the same or similar trade names in the area, and confirm the business purpose that you state for your company. 

3. Required documents and articles of association

We make the necessary documents for registration including the articles of incorporation.  The documents need signatures by capital subscribers.  The articles of incorporation must by certified by a notary office.      

4. Payment of capital

Capital subscribers deposit the capital into the bank account of a delegate.  We temporarily keep it for the duration of the proceedings.  

5. Application for registration

We make a registration application for the company establishment when we have all the required documents.  Then, we apply to the Legal Affairs Bureau for the registration. 

6. Completion of the registration

The registration is complete one week after application.  We give you the related documents and articles of incorporation.  If you request, we will introduce you to a specialist in social insurance, a tax accountant, and a trust firm.  

Registration and Change

1. Change of Trade names

The trade name is the item mentioned in the articles of association, and you have to change the articles of association when you change your trade name.  Holding a general meeting of stockholders is necessary to get approval to change articles of association.  Then, you have to prepare "Change Registration Application", "Minutes of general meeting of stockholders ", "OCR paper", and "30,000 yen of Registration and license tax ".  Finally, they have to file at the Legal Affairs Bureau having jurisdiction over the head office where you applied for the establishment registration. 

2. Change of Purpose

The change of business purpose is similar to the case of the trade name change.  The minutes of the general meeting of stockholders, which includes the approval about the change of the business purpose, shall be attached to "Change Registration Application". The registration and license tax is 30,000 yen, which is the same amount as the trade name change. 

3. Change of Officers

When a representative director is newly elected or after the expiration of the term of office, you must attach a “Minutes of board of directors", "Written consent assumption of office”, "Certificate of a seal-impression" with the Change Registration Application. 

4. Head Office Relocation

When you move the head office to a jurisdiction outside of the Legal Affairs Bureau where you registered, it is necessary to file for a change at Legal Affairs Bureau where you submitted the current establishment registration and the Legal Affairs Bureau having jurisdiction for the new addresses.  Two copies of "The change registration application" are required, and the registration and license tax costs 30,000 yen each.  In addition, in the case of a move of the head office location, it is necessary to attach "Minutes of general meeting of stockholders" and “Minutes of board of directors".

　自筆証書遺言とは、遺言の中で最も簡単な遺言書の方式です。費用をかけず、専門家の関与もなしに作成することができます。

　証人が不要なので、遺言書の作成や内容についても秘密にすることができますが、形式が違っていると、遺言自体が無効になってしまう場合があります。

　しかし、誰にも知られないということは、せっかく書いた遺言を誰にも見つけてもらえないという可能性もあります。これでは書いた意味がないということになってしまいますので、この点は注意が必要です。

自筆証書遺言デメリット

1.　自分だけで作成するため、形式不備等のチェックができない
2.　偽造される可能性がある
3.　遺言を自体を発見してもらえない可能性がある
4.　開封に家庭裁判所の検認が必要になる

自筆証書遺言の書き方

自筆証書遺言の作成に際し、用意するものは紙、筆記具、封筒だけです。
この時、筆記用具として使用するものは出来るだけ書き直しの出来ないものを使用しましょう。
　

①財産とその財産を誰に相続させたいかを確認します。

②筆記具を用い、内容を紙に書いていきます。ワープロ等は無効になるので、必ず自筆で書いてください。

③作成年月日を記入します。「○年○月吉日」では無効になるので、正式に記載します。

④氏名を記入します。

⑤押印します。遺言書が複数枚になるときには、契印又は綴じて割印をします。

⑥必要であれば専門家に内容を確認してもらいましょう。

⑦封筒に入れ、封をします。

遺言書の訂正がある場合には、訂正の方法も厳格に決まっているので、もう一度書き直すことをおすすめします。

自筆証書遺言の注意点

現在、ビデオ等による遺言は法的な遺言としては認められておらず、遺言書としては無効になります。
また、書面においてもせっかく作成した遺言書が無効になると、ご自身の意思が実現できないおそれがありますので
作成前と作成後に専門家にご相談することをお勧めします。

安心して有効な遺言書を遺したいのであれば、ある程度の費用は掛かりますが、
確実に有効性を持つ遺言書を残すためにも、公正証書遺言の作成をお勧めしております。
