Since law pertaining to new companies (new corporate law) went into effect in May, 2006, it is now possible to set up a new company with a small amount of capital.

 

In the new corporate law, the following were the main points that were revised. 

1.      Only 1 yen of capital is required, revised from the previous requirement of 10 million yen. 

2.      Only one director is needed to establish a company now, where three directors and one auditor were necessary previously. 

3.      Preparation time needed for registration is substantially shortened, as payment of capital is not necessary and a safekeeping fee is not required.   

4.      When electronic authentication is used, the certification of articles of association is 0 yen.  There is a 40,000 yen fee if electronic authentication is not used.  This is one of the advantages of using a professional lawyer for the procedure. 

 Outline of a plan to set up a company

Establishing a plan

1. Appointment & Consultation

To start, please contact us for an appointment.  We will explain the basics of registration and articles of association.  Then, after the consultation, if you request it, we will draft an outline of the requirements in your case.  Please feel free to e-mail or phone call.   

2. Investigation

We will investigate the same or similar trade names in the area, and confirm the business purpose that you state for your company. 

3. Required documents and articles of association

We make the necessary documents for registration including the articles of incorporation.  The documents need signatures by capital subscribers.  The articles of incorporation must by certified by a notary office.      

4. Payment of capital

Capital subscribers deposit the capital into the bank account of a delegate.  We temporarily keep it for the duration of the proceedings.  

5. Application for registration

We make a registration application for the company establishment when we have all the required documents.  Then, we apply to the Legal Affairs Bureau for the registration. 

6. Completion of the registration

The registration is complete one week after application.  We give you the related documents and articles of incorporation.  If you request, we will introduce you to a specialist in social insurance, a tax accountant, and a trust firm.  

Registration and Change

1. Change of Trade names

The trade name is the item mentioned in the articles of association, and you have to change the articles of association when you change your trade name.  Holding a general meeting of stockholders is necessary to get approval to change articles of association.  Then, you have to prepare "Change Registration Application", "Minutes of general meeting of stockholders ", "OCR paper", and "30,000 yen of Registration and license tax ".  Finally, they have to file at the Legal Affairs Bureau having jurisdiction over the head office where you applied for the establishment registration. 

2. Change of Purpose

The change of business purpose is similar to the case of the trade name change.  The minutes of the general meeting of stockholders, which includes the approval about the change of the business purpose, shall be attached to "Change Registration Application". The registration and license tax is 30,000 yen, which is the same amount as the trade name change. 

3. Change of Officers

When a representative director is newly elected or after the expiration of the term of office, you must attach a “Minutes of board of directors", "Written consent assumption of office”, "Certificate of a seal-impression" with the Change Registration Application. 

4. Head Office Relocation

When you move the head office to a jurisdiction outside of the Legal Affairs Bureau where you registered, it is necessary to file for a change at Legal Affairs Bureau where you submitted the current establishment registration and the Legal Affairs Bureau having jurisdiction for the new addresses.  Two copies of "The change registration application" are required, and the registration and license tax costs 30,000 yen each.  In addition, in the case of a move of the head office location, it is necessary to attach "Minutes of general meeting of stockholders" and “Minutes of board of directors".
